Saudi Arabia Strengthens Beneficial Ownership Rules To Boost Corporate Transparency
Category: Expats

Saudi Arabia has updated its beneficial ownership rules, requiring companies to clearly identify and disclose individuals who ultimately own or control businesses in the Kingdom. These changes, approved by Minister of Commerce Dr. Majed Al‑Qasabi, aim to enhance transparency, regulatory oversight and align with international best practices for corporate governance and anti‑money laundering.

What Are the New Beneficial Ownership Rules?

The amended rules define who qualifies as the beneficial owner — the real person who directly or indirectly owns, controls or benefits from a business. The updates introduce clear thresholds and fallback criteria to ensure companies can identify a natural person responsible for ownership disclosures.

Identifying the Beneficial Owner

  • A natural person who holds 25% or more ownership (direct or indirect) is considered the beneficial owner.
  • If no individual meets the 25% threshold or identities are unclear, authorities will rely on the criterion of effective and ultimate control of the company.
  • As a last resort, if neither ownership nor control criteria identify a person, the designation will fall to the company’s manager, a board member, or the chairman depending on the company structure.

Disclosure Requirements and Reporting

The rules also regulate disclosure obligations for those acting on behalf of others and set deadlines for reporting changes:

  • Anyone exercising share or stake rights on behalf of a third party must disclose the beneficial owner’s information to the company and relevant authorities.
  • Companies must report any changes within 15 days of such changes to ensure records remain up to date.

Key Exemptions Under the New Rules

One important amendment exempts subsidiaries of companies listed on the Stock Exchange from the new disclosure requirements. The reasoning is that listed companies are already subject to higher disclosure standards under market rules, reducing duplication and regulatory burden.

Penalties and Enforcement

Alongside the identification and disclosure rules, Saudi regulators are tightening enforcement. Proposed penalties include fines for firms that fail to disclose beneficial ownership information or neglect annual confirmations. These enforcement measures are designed to improve compliance and deter misuse of corporate entities for illicit purposes.

Why This Matters: Context and Impact

The update is part of a broader push to strengthen corporate governance and align with international anti‑money‑laundering standards. Clear beneficial ownership rules help authorities trace the individuals behind opaque ownership structures and protect the financial system from abuse.

For businesses operating in Saudi Arabia, complying with these rules is now an essential part of corporate registration and ongoing governance.
